Please read these Terms carefully before using the TARE platform, website, or mobile application. By accessing or using any part of TARE's services, you agree to be bound by these terms.
About TARE
TARE is a fractional property development platform operated by TARESTATE LTD, a company incorporated in Nigeria under the Companies and Allied Matters Act 2020, with RC No. 9444695. TARE's platform enables users to co-own residential property development projects in Lagos, Nigeria. Investment activities conducted through the TARE platform are structured and managed in partnership with a Securities and Exchange Commission licensed fund manager.
Eligibility
To use TARE's services, you must be at least 18 years of age, be legally capable of entering into a binding contract under Nigerian law, and provide accurate and truthful information during the registration process. TARE reserves the right to refuse access to any person who does not meet these requirements or who provides false information.
Nature of the Service
TARE provides a technology platform that facilitates access to fractional co-ownership opportunities in property development projects. TARE is a property development and technology company. It is not itself a licensed fund manager, investment adviser, or financial institution. All investment structures offered through the TARE platform are administered by TARE's licensed fund management partner, whose details are disclosed on the platform. Nothing on the TARE platform constitutes financial advice. Users are encouraged to seek independent financial and legal advice before making any investment decision.
User Accounts
Users must register an account to access investment features on the TARE platform. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify TARE immediately at hello@tare.ng if you become aware of any unauthorised use of your account. TARE reserves the right to suspend or terminate any account that is found to be in breach of these Terms, involved in fraudulent activity, or otherwise used in a manner inconsistent with the purpose of the platform.
Investment Terms
Each investment opportunity made available through the TARE platform is governed by the specific terms disclosed for that project, including the projected returns, timeline, risk factors, and exit options. Users should read all project-specific documentation carefully before investing. Investments made through the TARE platform are not guaranteed. The value of investments may go down as well as up. Past performance is not indicative of future results. Please refer to the Investment Risk Disclosure for further detail.
Fees
TARE charges platform fees in connection with each investment made through the platform. The applicable fees for each project will be clearly disclosed before any investment is confirmed. TARE's licensed fund management partner may also charge fund management fees, which are separately disclosed.
Intellectual Property
All content on the TARE platform, including but not limited to text, graphics, logos, architectural renders, software, and design, is the property of TARESTATE LTD or its licensors and is protected by applicable intellectual property laws. Users may not reproduce, distribute, or create derivative works from any TARE content without express written permission.
Limitation of Liability
To the maximum extent permitted by applicable law, TARESTATE LTD shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the TARE platform, including but not limited to loss of profits, loss of data, or loss of investment returns. TARE's total liability to any user shall not exceed the amount invested by that user through the platform in the preceding twelve months.
Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, or resolved through arbitration in Lagos under the Arbitration and Mediation Act 2023.
Changes to These Terms
TARE reserves the right to update these Terms of Service at any time. Users will be notified of material changes via the platform or by email. Continued use of the platform after such notification constitutes acceptance of the updated terms.
